Course Description
A panel of experts that includes experienced tax attorneys and a deputy assistant secretary of the U.S. Treasury Department discuss the unexpected and complex issues that arise in the most common type of M&A transaction: taxable acquisitions. Using examples, panelists discuss the allocation of purchase price (Sections 338, 338(h)(10) and 1060) in various situations including deemed asset sales, insolvent targets, and bargain purchases, as well as the treatment of contingent payments and contingent liabilities. Accompanying course materials include several hundred pages of detailed outlines on these topics.
